PLEASE READ CAREFULLY. By clicking "Create Account," "I Agree," or otherwise accessing or using the Chartlab application, website, APIs, or any content, data, or services provided through them (collectively, the "Service"), you ("you" or "User") acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms") and by our Privacy Policy. If you do not agree, you must not use the Service.

"Chartlab," "we," "us," "our." | Chartlab LLC, a Texas limited‑liability company. |
"Application." | The web, desktop, and mobile interfaces through which the Service is delivered. |
"Market Data." | Third‑party financial‑market data, content, and information that Chartlab is licensed to display or use within the Service. |
"Derived Product." | Any visualization, calculation, or other output generated by the Service that is based upon or incorporates Market Data. |
Click‑wrap Consent. You accept these Terms when you create an account, access, or use any part of the Service.
Minimum Age & Capacity. You must be at least 18 years old and legally capable of entering a binding contract.
Entity Users. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
Limited License. Subject to your ongoing compliance with these Terms, Chartlab grants you a personal, non‑exclusive, non‑transferable, revocable, limited right to access and use the Application and to view Derived Products solely for your internal, non‑commercial purposes.
Market‑Data Restrictions. Your right to access or view Market Data is conditioned on all of the following prohibitions:
No Redistribution or Resale. You may not copy, reproduce, publish, transmit, sell, sublicense, rent, lease, lend, or otherwise distribute Market Data in original or modified form.
No Derivative Databases. You may not create derivative datasets or services that allow a third party to access Market Data outside the Service.
Integrity of the Data. You must not materially distort, delete, or alter Market Data so as to misrepresent its meaning or accuracy.
Proprietary Notices. You must not remove, conceal, or alter any copyright, trademark, or other proprietary notice that appears on or with Market Data.
Reverse Engineering Prohibited. You must not reverse‑engineer, decompile, or otherwise attempt to derive the underlying structure of Market Data or the systems that deliver it.
Export Compliance. You may not access or use Market Data in violation of U.S. export laws or regulations.
Reservation of Rights. Except for the limited rights expressly granted, Chartlab and its licensors retain all right, title, and interest in and to the Service, Market Data, Derived Products, and all associated intellectual‑property rights.
The Service, Market Data, and all intellectual‑property rights therein are owned by Chartlab or its licensors and protected by copyright, trademark, trade‑secret, and other laws. No ownership rights are conveyed to you under these Terms.
Chartlab is not a registered investment adviser, broker‑dealer, or financial planner. The Service, Market Data, and Derived Products are provided solely for informational and educational purposes and do not constitute investment advice, a recommendation, or a solicitation to buy or sell any security. You are solely responsible for your trading and investment decisions.
The Service is offered as open beta software. It may contain bugs, errors, or inaccuracies; functionality may change without notice; and outages may occur. You use the Service at your own risk.
You must provide accurate, complete account information and keep it up to date.
You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
You must promptly notify Chartlab of any unauthorized use or security breach.
You may not:
Use automated means (bots, scripts, scrapers) to access the Service or Market Data except through Chartlab‑provided APIs under an express written license;
Interfere with or disrupt the Service, servers, or networks;
Circumvent or attempt to circumvent rate limits, usage caps, or security features;
Use the Service for any unlawful, defamatory, or infringing purpose;
Transmit malware or any malicious code.
Chartlab may monitor and log your use of Market Data and Derived Products to comply with data‑provider licensing obligations and to improve the Service.
If your plan involves fees, you agree to pay all charges in accordance with the pricing and billing terms presented at the time of purchase. All fees are non‑refundable unless expressly stated otherwise.
Your use of the Service is also governed by the Chartlab Privacy Policy, which explains how we collect, use, and share personal information.
By You. You may terminate these Terms at any time by discontinuing use of the Service and, if applicable, cancelling your subscription.
By Chartlab. We may suspend or terminate your access immediately if you breach these Terms, if required by our licensors, or if any underlying data‑license agreement terminates.
Effect of Termination. Upon termination, all licenses granted to you (including access to Market Data) terminate, and you must delete any Market Data in your possession.
Survival. Sections 3–5, 8–9, 12(3–4), 13–17, and 19 survive termination.
THE SERVICE, MARKET DATA, DERIVED PRODUCTS, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." CHARTLAB AND ITS LICENSORS DISCLAIM ALL WARRANTIES—EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE—INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHARTLAB, ITS LICENSORS, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES. CHARTLAB'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) USD 100.
You agree to indemnify and hold harmless Chartlab, its licensors, and their officers, directors, employees, and agents from any claims, damages, or expenses arising out of your use of the Service, Market Data, or Derived Products, your violation of these Terms, or your violation of any law or third‑party right.
You may not access, use, export, or re‑export the Service or Market Data except as authorized by United States law and the laws of your jurisdiction.
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict‑of‑laws rules. Any dispute shall be resolved exclusively in the state or federal courts located in Austin, Texas, and you consent to their jurisdiction.
Chartlab may modify the Service or these Terms at any time. If we make material changes, we will notify you (e‑mail or in‑app) and update the "Effective" date. Continued use after the effective date constitutes acceptance of the revised Terms.
Entire Agreement. These Terms constitute the entire agreement between you and Chartlab regarding the Service.
Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
Waiver. Chartlab's failure to enforce any right is not a waiver of future enforcement.
Assignment. You may not assign these Terms without Chartlab's prior written consent. Chartlab may assign these Terms without restriction.
